Terms of service

amadana Co., Ltd. (hereinafter referred to as "the Company") hereby establishes the Terms of Use (hereinafter referred to as "these Terms") for the services provided through the operation and management of the online shopping site "amadana online store" (hereinafter referred to as "the Service") as follows. Use of the Service is conditional upon acceptance of all provisions of these Terms; therefore, please ensure you read these Terms in their entirety before registering.

 

Article 1: Scope and Amendment of These Terms

These Terms of Use apply to the relationship between the Member (as defined in Article 2, Paragraph 1) and the Company regarding the use of this Service, and constitute the terms to be observed during the registration process and following registration.

2.These Terms and Conditions may be amended or supplemented with new provisions without the prior consent of the Member by notifying the Member through methods deemed appropriate by the Company, such as posting on the Site or sending an email.
In the event that these Terms are amended, members shall be bound solely by the amended version of the Terms.


Article 2: Member Registration

"Member" refers to an individual who has accepted all the terms of this Agreement, applied for membership registration in accordance with the procedures prescribed by the Company, and whose application has been approved by the Company.

2.The membership registration process shall be completed by the individual wishing to register as a member, in accordance with the methods specified by the Company via the membership registration page of this Service. Registration by proxy is strictly prohibited.

3.If a person applying for membership registration falls under any of the following items, the Company may refuse registration or cancel a registration already made without prior notice.

  • (1) If it is discovered that the individual has previously been subject to measures such as the cancellation of their membership registration due to a violation of any terms of service provided by the Company.
  • (2) If the membership registration application contains false information
  • (3) In the event of a delay in the performance of payment obligations for fees related to products or services (hereinafter referred to as "Products, etc.") or any other default
  • (4) In the event that any of the prohibited acts set forth in Article 6 (Prohibited Matters) of these Terms are committed.
  • (5) Any other violation of these Terms and Conditions

 


Article 3: Changes to Registration Details

In the event of any changes to all or part of the registered information, the Member shall immediately update such information using the method separately designated by the Company.
In the event that you fail to provide such notification, any processing carried out based on the information already registered shall be deemed valid and appropriate.
Furthermore, the Company shall assume no liability whatsoever for any damages arising from a failure to register such changes.


Article 4: Management of User ID and Password

Members shall bear full responsibility for the use and management of the user ID and password set by the member themselves and approved/registered at the time of membership registration or other procedures.

2.Members shall not assign, transfer, change the name of, lend, disclose, or leak their user ID and password to any third party.

3.The Company shall assume no responsibility for any damages resulting from issues related to the use or management of a member's user ID, password, or credit card number, or from unauthorized use by a third party.


Article 5: Membership Withdrawal

If a member wishes to withdraw from membership, the member themselves shall delete their membership information. Furthermore, if a member requests the Company to do so, the Company may perform the withdrawal procedure on their behalf. Membership is terminated upon completion of the withdrawal procedures prescribed by the Company.


Article 6: Prohibited Matters

"In using this Service, Members shall not engage in any of the acts specified in the following items.


  • (1) Acts that violate these Terms or laws and regulations, acts linked to criminal activity, acts contrary to public order and morals, or acts that pose a risk thereof.
  • (2) The act of entering false information or a third party's information when registering as a member or changing registration details.
  • (3) Acts that interfere with the operation of this Service or are otherwise likely to cause a hindrance to this Service.
  • (4) Acts that infringe upon, or are likely to infringe upon, the property, privacy, intellectual property rights (such as copyrights), or any other rights of other members, third parties, or the Company.
  • (5) Acts that defame, slander, or libel other members, third parties, or the Company, or acts that carry the risk thereof
  • (6) Acts that cause, or are likely to cause, inconvenience, disadvantage, or damage to other members, third parties, or the Company.
  • (7) Acts of unauthorized use of user IDs and passwords
  • (8) Purchases for commercial purposes, such as resale by competitors or trade professionals
  • (9) Any other conduct deemed inappropriate by the Company

 


Article 7: Copyrights, Trademarks, and Other Intellectual Property Rights

All copyrights, trademark rights, and other intellectual property rights for any content provided through this service (including text, illustrations, designs, photographs, images, logos, icons, videos, programs, etc.) (hereinafter referred to as "Content") belong to the Company. Members and users shall not engage in any acts that infringe upon these rights.

2.Regardless of the purpose, any unauthorized use (including reproduction, modification, diversion, transfer, distribution, posting, sale, or publication) of all or any part of the content or other information provided on this service is strictly prohibited.

3.In the event that a dispute arises with a third party due to a violation of the provisions of this Article, the Member shall resolve such dispute at their own responsibility and expense, and shall ensure that no damage, loss, or disadvantage is incurred by the Company.


Article 8: Purchase of Products

Members may purchase products and other items from the Company through the use of this Service.

2.Members shall place orders for products and other items in accordance with the methods specified by the Company.

3.A sales contract for the relevant products shall be formed between the Member and the Company at the point when the processing of the application set forth in the preceding paragraph is completed by the Company and an email notifying the Member that the products have been shipped is sent to the Member.

4.Notwithstanding the provisions of the preceding paragraph, even after a sales contract for the relevant product(s) has been concluded, if it is discovered that a Member has engaged in fraudulent or inappropriate conduct regarding the use of this Service, or if there are circumstances that give rise to a strong suspicion of such conduct, the Company may, at its own discretion, cancel, rescind, or take any other appropriate measures regarding said sales contract. The same shall apply if it is discovered that there was an obvious clerical error in the price or other sales conditions of the product(s) presented by the Company through this Service.

5.Purchase applications shall be made by the member themselves. Even in cases where a third party acts as an agent for the member or purchases products using the member's name, all rights and obligations arising from the purchase of said products shall be borne by the member. Product delivery through this service is limited to addresses within Japan.


Article 9 Payment Methods

The member shall bear all shipping costs related to the delivery of products and other items, as well as cash-on-delivery fees in the event that the member selects the cash-on-delivery payment method. The total payment amount for products and other items shall be the sum of the product price (including consumption tax), shipping costs, related handling fees, and any consumption tax applicable to these fees.

2.Payment for products purchased through this service shall be made via a credit card in the name of the member themselves, or by cash on delivery upon receipt of the products.

3.In the case of payment by credit card, the member shall comply with the terms and conditions separately contracted between the member and the credit card company. Furthermore, in the event of any dispute arising between the member and a third party, such as the credit card company, the matter shall be resolved between the parties involved, and the Company shall assume no responsibility or liability whatsoever.


Article 10: Returns and Exchanges

Returns and exchanges of products shall be accepted only if you contact the "Return/Exchange Contact Information" listed in the "User Guide" within 10 days of the product's arrival, in accordance with the regulations separately established by the Company.

2.Members shall return the products in accordance with the procedures separately established by the Company.

3.Shipping costs for returns and exchanges shall be borne by the Company only in cases attributable to the Company, such as defective products or incorrect deliveries. Returns or exchanges for the Member's convenience (e.g., size does not fit, item differs from image, etc.) other than those mentioned in the preceding paragraph shall not be accepted under any circumstances.
For members requesting an exchange, the replacement item shall be shipped once the original product has arrived at our facility and the corresponding stock is ready.
If an exchange is not possible due to items being out of stock or other reasons, a refund will be issued. The refund process shall be carried out in accordance with separately established regulations.


Article 11: Disclaimer Regarding Products, etc.

Unless otherwise specified, warranties for products sold through this service shall be governed by the terms and conditions set forth in the attached product warranty card.

2.While we strive for maximum accuracy in our product images, please note that colors and sizes may differ slightly from the actual product due to screen settings and photographic techniques.

3.The Company shall not be liable for any warranties or responsibilities regarding the quality, performance, compatibility with other products, or any other defects of the products bought or sold through this Service, nor for any damages, losses, or disadvantages arising therefrom, except as expressly provided in Paragraph 1 of this Article.

4.The Company shall not be held liable for any issues arising from unknown delivery destinations or other related problems that occur after the Company has handed over the products to its contracted delivery carrier and requested shipment to the delivery address registered by the Member.


Article 12: Management of Information

We shall use the acquired member information for the following purposes. Furthermore, we may entrust this information to subcontractors selected by us in order to achieve these purposes.

  • (1) Management of Service Members and Users
  • (2) Distribution of email newsletters
  • (3) Provision of point services, etc.
  • (4) Introduction, advertising, promotion, and sales solicitation of our products and services
  • (5) Shipping of Goods
  • (6) Customer Support
  • (7) Planning of campaigns and administration of surveys
  • (8) To provide other content related to this Service
  • (9) Marketing activities following the processing of data into a non-personally identifiable format

 

2.As a general rule, the Company shall not disclose or provide member information disclosed by a member during the registration process or subsequent registration of changes to any third party without the member's prior consent. However, in the following cases, the Company may disclose or provide such member information without the member's prior consent:

  • (1) When processed into a state where members cannot be identified for use as statistical data
  • (2) When disclosure or provision of member information is requested based on laws and regulations.

3.The Company reserves the right to delete or change the publication location of comments or other information posted by a Member with the Company's consent, without prior notice to the Member, if the Company deems it necessary for reasons such as the information being found to clearly defame or damage the reputation or credibility of other Members, third parties, or the Company, or being in violation of laws and regulations.

4.In addition to the preceding three paragraphs, the Company shall handle Member information obtained in accordance with the separately established "Handling of Personal Information."


Article 13: Use of Services

By using this service, you agree in advance to these Terms of Use and our "Privacy Policy," which is set forth separately by the Company.


Article 14: Modification and Discontinuation of Services

We may modify or discontinue this service in the following cases.

  • (1) When urgent maintenance and inspection are required due to issues with the computer system used to provide this Service (hereinafter referred to as the "System").
  • (2) In the event that system operation becomes difficult due to fire, power failure, natural disasters, or other force majeure events
  • (3) In the event that system operation becomes difficult due to man-made disasters (war, riots, civil unrest, labor disputes, etc.)
  • (4) If system operation becomes difficult due to acts of interference by a third party, etc.
  • (5) Other instances where the Company deems a system suspension to be unavoidable


Article 15: Other Disclaimers

The Company shall be indemnified against any and all damages incurred by a Member resulting from the processing of administrative tasks in accordance with the Member's registration details.

2.The Company shall assume no liability for any damages incurred by Members due to system interruptions, delays, or suspensions resulting from failures in communication lines or computer systems, nor for any damages arising from the unauthorized alteration of web pages, notwithstanding the implementation of reasonable security measures by the Company.

3.We do not guarantee that the emails or content sent from our webpages, servers, domains, or other sources are free of computer viruses or other harmful components.

4.The Company may provide information or advice to Members from time to time; however, the Company shall not be held liable for such actions.

5.The Company shall assume no liability whatsoever for any damages or losses incurred as a result of a Member's violation of these Terms and Conditions.

6.If a member causes damage or loss to another member or a third party through the use of this Service, said member shall resolve the matter at their own responsibility and expense and shall ensure that no damage or loss is incurred by the Company.


Article 16 Governing Law and Agreed Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan. In the event that any litigation becomes necessary regarding these Terms and Conditions, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance.
